Project delivery methods in commercial construction have changed dramatically over the past decade. More owners are now embracing project delivery methods that streamline schedules and encourage collaboration among multiple parties throughout the construction process.
As projects get bigger, more specialized, and more complex – such as data centers, healthcare facilities, manufacturing plants and institutional buildings – specialty contractors are increasingly expected to design parts of a project, not just build them.
Design responsibility for MEP (mechanical, electrical, plumbing), structural steel, fire protection, curtain wall, HVAC, and other specialty systems is increasingly being assigned to trade contractors. This practice, known as delegated design, can improve efficiency and leverage specialized expertise. However, it can also create significant contractual and professional liability exposures if project responsibilities are not clearly defined from the outset.
Delgated Design vs Design Assist
Although the terms are sometimes used interchangeably, delegated design and design assist differ fundamentally.
- Delegated design transfers responsibility for designing a specific component from the architect or engineer of record to the contractor. That responsibility also carries the associated design liability.
- Design assist, by contrast, is a collaborative process that does not shift design liability. Specialty contractors contribute their technical knowledge during the design process, but the architect or engineer remains responsible for the final design and retains professional liability.
Understanding the distinction is critical because the risk and insurance implications are very different.
Know Exactly What You’re Agreeing to Design
One of the biggest challenges with delegated design is that, at times, contractors assume additional responsibility without fully realizing it. In many cases, delegated design is not clearly identified at the beginning of a project. It may appear later in procurement documents, in the technical specifications, or during the evolution of the design itself as project teams determine that a specialty contractor is better suited to develop a particular system.
Without clear documentation outlining when design responsibility shifts and what is being delegated, confusion can arise about who bears the risk if something goes wrong.
The Contract Should Remove All Doubt
The construction contract should never leave design responsibility open to interpretation. All parties should understand precisely which portions of the project remain the responsibility of the architect or engineer of record, and which have been delegated to a contractor. If responsibilities change as the project evolves, the contract should be amended accordingly.
Clear contract language benefits all parties. Owners know who is accountable for each portion of the project. Contractors understand the responsibilities they are accepting before pricing the work. Designers know where their professional obligations begin and end. Sureties and insurance carriers can accurately evaluate the risks they are being asked to underwrite.
The objective is not just to assign responsibility, but to eliminate uncertainty before construction begins.
Professional Liability Must be Part of the Conversation
As contractors assume design responsibility, they also assume professional liability exposures that most Commercial General Liability policies exclude. In traditional construction, most specialty contractors performed construction work without significant design responsibility. Today, that is changing.
When contractors provide engineering or design services, or contractually accept responsibility for those services, they should work closely with their insurance broker and legal counsel to determine whether Professional Liability coverage is appropriate for their operations. Depending on the scope of work, Contractor’s Pollution Liability and other coverages may also need to be considered.
The key is recognizing when a contractor has crossed the line from simply constructing a system to assuming responsibility for its design.
Surety Considerations
Delegated design can also affect surety underwriting. Performance bonds have traditionally focused on construction performance rather than professional design services. As contractors assume greater design responsibility, sureties need a clear understanding of exactly what obligations the contractor has assumed in the contract.
Sureties can more accurately evaluate the risk when the contract clearly defines design responsibilities, and those obligations are supported by appropriate insurance coverages. When responsibilities are unclear–or evolve without contract amendments–underwriting can become more difficult because of the potential for disputes over design liability.
Coordination Is the Best Risk Management Strategy
Delegated design works best when all stakeholders share a common understanding before work begins. Owners, designers, contractors, brokers, and legal counsel all benefit when responsibilities are clearly documented, insurance requirements align with those responsibilities, and communication continues throughout the project as designs evolve.
The most effective risk management strategy is also the simplest: define responsibilities early, document them clearly, and revisit them whenever the project changes.
As commercial construction projects grow larger and more complex, collaborative delivery models and delegated design will become more common. Contractors that understand the responsibilities they are accepting—and ensure their contracts and insurance programs support those obligations—will be far better positioned to avoid disputes and successfully manage projects in the coming years.
